1. Agreement to Terms

By accessing our website and using our services, you agree to be bound by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these terms, you are prohibited from using or accessing this site or using any other services provided by VistaChat.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on VistaChat's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title.

• You may not attempt to decompile or reverse engineer any software contained on VistaChat's website

4. AI-Generated Content & Limitations; Assumption of Risk

VistaChat utilizes artificial intelligence to generate draft message responses. By using the Service, you assume all risks involved with the use of AI and acknowledge and agree to the following:

• AI-generated responses may be incomplete, inaccurate, or based on imperfect information, and should be reviewed carefully before use.
• AI-generated responses may include hallucinations — plausible-sounding but factually incorrect, fabricated, or misleading content. VistaChat makes no representations regarding the factual accuracy of any AI-generated response, and users are solely responsible for reviewing all content prior to transmission.
• VistaChat is not designed for use with protected health information (PHI) or other highly sensitive personal data. VistaChat strongly discourages incorporating PHI or other sensitive data into AI-generated responses. Users assume all risks associated with doing so, and VistaChat disclaims all liability arising from such use.
• AI-generated content produced through VistaChat is generated algorithmically and provided on an “as-is” basis. VistaChat does not review, edit, or approve AI-generated responses prior to transmission. Users are solely responsible for all content sent through the Service.
• AI-generated responses through VistaChat are not intended, and should not be construed, as professional, legal, medical, or financial advice. Users should not rely on any AI-generated content as a substitute for qualified professional guidance.

5. Limitations

In no event shall VistaChat or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on VistaChat's website, even if VistaChat or a VistaChat authorized representative has been notified orally or in writing of the possibility of such damage.

6. Prohibited Activities & Termination Rights

Users may not use VistaChat for prohibited activities, including but not limited to: criminal conduct, harassment, any use that violates the rights of a third party, or any activities that VistaChat, in its sole discretion, deems improper or harmful. VistaChat reserves the right to suspend or terminate any subscriber’s access to the Service at any time, for any reason, including but not limited to breach of these Terms or conduct VistaChat deems inappropriate, regardless of whether a payment obligation exists.

7. Billing & Sales Tax Disclosure

VistaChat will collect and remit applicable sales tax on the Service where required by law, including applicable North Carolina state and local sales tax. The applicability of sales tax to software-as-a-service may vary by jurisdiction. Users are responsible for any applicable taxes not collected by VistaChat.

8. Policies & References

These Terms of Service are supplemented by VistaChat’s Privacy Policy and Intellectual Property Policy, each of which is incorporated herein by reference. The Privacy Policy governs VistaChat’s collection, use, and storage of user data. The IP Policy addresses ownership of input and output data, licensing rights to AI-generated content, and permissible use of VistaChat’s trademarks and logos. Please review both policies before using the Service.
